BEFORE PROCEEDING TO BID ON LOT(S): Understand that when you bid on any lot, you enter into a legally binding contract with Two Old Souls, Inc. You agree to be held personally responsible for all bids and purchases made under your bidder number or account. If you win a lot, you must pay and pick it up on the date and time listed in the event listing. If items are not picked up at the scheduled removal time, they will be considered abandoned, and we will charge your credit card for the purchase price plus a $5 disposal fee per lot.

REGARDING OUR AUCTION TITLES, DESCRIPTIONS AND PHOTOS :

Titles and descriptions are believed to be accurate but are not guaranteed. The photos are part of the description; always refer to them (and your eye) as the default description, as photos may show wear not mentioned in the written description. We do our best to describe and photograph each lot to show any wear or defects; however, what one person considers a "flaw" can vary.

We sometimes use Google Lens, an AI tool, to verify the authenticity of certain items by comparing them with other online sources, particularly for vintage items or those without clear markings. While it's usually accurate, it may occasionally make errors. Therefore, please conduct thorough research before submitting a bid.

We utilize AI to generate backgrounds for the first photos, but leave the other images in their natural state. The item itself remains unchanged; only the background is altered. You are responsible for carefully reviewing all item photos to assess condition and, when applicable, verify the listed measurements.

TERMS OF USE AGREEMENT (TERMS AND CONDITIONS) FOR PARTICIPATING IN OUR ONLINE AUCTIONS

Two Old Souls, Inc. operates as an independent, incorporated small business in Ohio.

Bidder Terms & Conditions

These Bidder Terms and Conditions ("Terms") apply to auctions conducted by Two Old Souls, Inc. Online Auctions ("Auctioneer") and form a binding contract between Auctioneer and each Bidder, and the basis for the contract of sale between Seller and Buyer. "YOU" means each Bidder.

#1. Agreement to Be Bound

The Auction is conducted under these Terms and any other terms posted on Auctioneer's website(s) or on any Online Auction Platform used by Auctioneer, subject to Auctioneer's announcements or corrections. By participating in the Auction in any way, YOU agree to be bound by these Terms.

#2. Key Definitions

- Auction – an online sale conducted by Auctioneer.

- Bidder – anyone who registers, bids, buys, or otherwise participates (including inspection/pick-up), whether or not a bid is tendered.

- Lot – each item or group of property offered at one time.

- High Bid / Hammer Price – the highest bid recognized at the close of bidding; becomes the Hammer Price at the Fall of the Hammer (electronic, at the end of timed/extended bidding).

- Buyer – the Winning Bidder on a Lot.

- Buyer's Premium – a percentage fee added to the Hammer Price, payable to the Auctioneer.

- Contract Price – Hammer Price + Buyer's Premium.

Delivery – transfer of possession, occurring at the Lot's physical location unless the Auctioneer states otherwise; the Auctioneer is not obligated to relocate Lots.

- High/Low Estimate – a non-binding guide only, not an appraisal or valuation.

- No Sale – a Lot that is passed, withdrawn, or not sold.

#3. Bidder Registration

YOU must register and provide requested information. Auctioneer may accept, refuse, or revoke any registration or bidding privileges at its discretion. By registering, YOU represent that, if an individual, YOU are at least 18 and legally able to contract; if an entity, that YOU have authority to bid and complete the purchase. Auctioneer may accept bids from unregistered persons, who are still bound by these Terms.

#4. Location of Bids

All bids and payments are deemed received in Ohio, regardless of YOUR location or the Lot's location.

#5. Buyer's Premium

A 12% Buyer's Premium on the Hammer Price applies to all Lots and is earned by Auctioneer at the Fall of the Hammer.

#6. Access & Risk

YOU assume all risk in accessing the Auction, the Online Auction Platform, or Auctioneer's premises. Access may be denied to anyone. Auctioneer may post truthful reviews of Bidders, including blocked Bidders.

#7. Withdrawal of Lots

Although rare, the Auctioneer may withdraw any Lot before the Fall of the Hammer.

#8. No Bid Retraction

Bids acknowledged or submitted online may not be retracted.

#9. Posted Times

All times are Eastern Standard Time and approximate. The Auctioneer may close early or extend the Auction without notice.

#10. Online Bidding

YOU may set a maximum bid; bids execute competitively up to that amount. Receipt/execution of online bids does not create an agency relationship.

#11. Relationship of Parties

Auctioneer represents the Seller(s) (our clients) only and is not YOUR agent.

#12. Bid Increments

Auctioneer sets and may change bid increments.

# 13. Records

Absent clerical error, Auctioneer's records are final and conclusive.

#14–15. Technology & Platform Disruptions

Auctioneer is not responsible for technology failures, disruptions, or errors (connectivity, platform, programming, or Bidder-side issues), and may suspend, delay, or restart the Auction as a result. Auctioneer is not liable for failures of any Online Auction Platform Provider or its affiliates/contractors.

#16. Auto-Extend

A bid placed within 2 minutes of the scheduled close extends bidding by 2 minutes, repeating until no new bids are received.

#17. Platform Disclaimer

Auctioneer disclaims all warranties regarding the Online Auction Platform's uninterrupted, error-free, or secure operation, or the results obtained from using it.

#18–20. Responsibility for Bids; Winning Bidder

YOU are responsible for all bids from YOUR computer or account. The Winning Bidder becomes the Buyer upon the Auctioneer's final certification.

#21. Property Sold "AS IS / WHERE IS"

ALL PROPERTY IS SOLD AS IS, WHERE IS, WITH ALL FAULTS, INCLUDING HIDDEN DEFECTS. NO WARRANTIES ARE MADE**, express or implied — including title, merchantability, authenticity, or fitness for a particular purpose. YOU acknowledge YOU have had full opportunity to inspect and are relying solely on YOUR own inspection (or have waived it) in bidding.

#22–24. Inspection, Descriptions & Estimates

YOU are encouraged to inspect Lots before bidding and are responsible for determining condition, age, and value. Descriptions are based on visual impression only and create no warranty. High/Low Estimates are guides only, not guarantees of price or value, and exclude the Buyer's Premium.

#25. Announcements

Auction-day announcements take precedence over prior listings/ads.

#26–27. Seller Bidding & Auction Conduct

Seller(s) may bid directly or indirectly up to any Reserve. Auctioneer controls all bidding matters and may reopen bidding to correct errors or disruptions; all Auctioneer decisions are final.

#28. Contract of Sale

These Terms, plus Auctioneer's sale records, are conclusive evidence of each sale — no further writing is required.

#29–30. Payment & Title

Full payment (cash, card) is due at or before pick-up; large payments may require certified funds/wire. Shipping occurs only after payment clears. Title does not pass until payment clears.

#31. Delivery & Sales Tax

Lots are delivered at their auction location unless otherwise stated; Auctioneer has no obligation to relocate them. Applicable sales/use tax is collected at delivery; YOU are responsible for any additional tax owed to other jurisdictions.

#32. Pick-up, Shipping & Insurance

YOU are responsible for pick-up, removal, shipping, and any related damage (performed in a workmanlike manner) — and must indemnify Auctioneer/Seller for damage caused during removal. Risk of loss passes upon shipment; YOU are responsible for insuring purchases.

# 33. Abandoned Property

Lots not removed within 1 business day after the Auction are deemed abandoned, even if paid for. YOU remain responsible for the full Contract Price regardless.

# 34. All Sales Final

ALL SALES ARE FINAL — NO REFUNDS OR RETURNS, NO EXCEPTIONS.

# 35. No Chargebacks

YOU agree not to initiate credit card chargebacks. Any chargeback, even if successful, leaves YOU liable for the purchase plus Auctioneer's costs and attorneys' fees to collect payment.

# 36. Claims

No claims, returns, or adjustments are allowed once a Lot is picked up.

# 37. Third Parties

Auctioneer has no relationship with, or liability to, third parties/subsequent purchasers. YOU must indemnify Auctioneer against their claims.

# 38–39. Remedies

YOUR sole remedy (if any) is return of the Hammer Price and Buyer's Premium from the Seller — no incidental, consequential damages, or specific performance. If YOU breach, the Lot may be resold, and YOU are liable for any deficiency and damages.

#40. Waiver

Provisions benefiting Auctioneer/Seller (e.g., registration, payment, removal, inspection terms) create no rights for other parties and may be waived by Auctioneer/Seller at their discretion.

#41. Indemnification

YOU indemnify and hold Auctioneer harmless for claims related to the Auction or any resale of Lots.

#42. Email List

YOU consent to receive emails from Auctioneer (each with an unsubscribe link) and agree not to report them as spam.

#43. Governing Law & Venue

These Terms are governed by Ohio law. All disputes are subject to the exclusive jurisdiction and venue of the state/federal courts in Portage County, Ohio. YOU waive the right to a jury trial and any objection to venue or forum.

#44. Attorneys' Fees

A breaching party is liable for the other party's costs and attorneys' fees incurred in enforcement.

#45. Acceptance

YOU acknowledge YOU have read, understood, and agree to be bound by these Terms.

#46. Payment & Forfeiture

Items must be paid per the Auction's posted terms. Unpaid items may be forfeited, and the Bidder may be permanently banned from future auctions.

#47. Pick-up Window

All items must be removed from the property address within 1 business day.

#48. Shipping Liability

As Seller, we are not responsible for packages lost or stolen in transit via FedEx, UPS, or USPS.

#49. Shipping Insurance

Items valued over $20 will be insured for shipment; the customer is responsible for the insurance cost.

#50. Pick-up Location

Items are picked up at the designated address on each auction (full address provided to winning bidders only.
